Senior Associate - Transaction Services (Financial Due Diligence)

As a Senior Associate, you’ll work as part of a team of problem solvers, helping to solve complex business issues from strategy to execution. PwC Professional skills and responsibilities for this management level include but are not limited to:
• Provide financial due diligence, vendor assistance, negotiation support and deal structuring for mergers and acquisitions (M&A) transactions within and outside Vietnam for both corporate and private equity clients.
Key responsibilities:
You will play a critical role in the deals team to deliver exceptional high- quality work in M&A transactions:
• Interview the company’s management team to unlock insights on non- financial risks and opportunities specific to the business and relevant to consider in the Transaction;
• Analyze and present financial information (i.e. Income Statement, Balance Sheet and Cash Flow Statements), as well as underlying key performance drivers;
• Add value to Transaction by mapping key findings to price adjustments and proposed warranties;
• Assess key valuation metrics used to bridge Enterprise and Equity value by analyzing underlying EBITDA, working capital requirements and net (financial) debt;
• Collect data from various sources and perform routine transactional procedures to check the data quality and prepare standard data sets which will be used during the deal engagement process;
• Prepare high quality due diligence reports highlighting key deal issues and underlying business drivers; and
• Provide coaching to junior members.
• Participate in financial due diligence assignments in the context of buy and sell- side M&A Transactions, servicing both corporate and private equity clients;
